These Terms and Conditions govern your engagement with CampYellow Private Limited. By commissioning our services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
1. Acceptance of Terms
By accessing or using any service provided by CampYellow Private Limited ("CampYellow", "we", "us", or "our"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree with any part of these Terms, you must not use our services.
These Terms apply to all clients, visitors, and users of CampYellow's services, including app development, ad monetization setup, consulting, and any related digital services.
2. Description of Services
CampYellow Private Limited provides the following services:
• Mobile application development (Android, iOS, cross-platform)
• Web application development (React, Next.js, and related technologies)
• Google Ads (AdMob, AdSense, Ad Manager) integration and monetization
• Bing Ads (Microsoft Advertising) integration and campaign management
• App Store Optimization (ASO) for Google Play and Apple App Store
• Analytics setup and reporting (Firebase, Google Analytics)
• Post-launch support and maintenance
The specific scope of services for each engagement is defined in a separate Statement of Work (SOW) or Project Agreement signed between CampYellow and the client.
3. Payment Terms
3.1 Payment Schedule: All project fees are outlined in the project agreement. Standard payment structure is 40% upfront, 30% at milestone completion, and 30% upon final delivery, unless otherwise agreed in writing.
3.2 Currency: All invoices are issued in Indian Rupees (INR) unless explicitly agreed otherwise.
3.3 Late Payments: Invoices unpaid beyond 15 days from the due date may accrue interest at 1.5% per month. CampYellow reserves the right to pause work on any project with outstanding payments.
3.4 Refunds: Payments made for completed work are non-refundable. If a project is cancelled by the client before completion, payment is due for all work completed to date, calculated at our standard hourly rates.
3.5 Taxes: All amounts are exclusive of applicable taxes (GST). GST will be applied as per Indian tax regulations.
4. Intellectual Property
4.1 Client Ownership: Upon receipt of full payment, all custom code, designs, and deliverables created specifically for the client project are assigned to the client. CampYellow transfers all intellectual property rights to the client at project completion.
4.2 Pre-existing IP: CampYellow retains ownership of any pre-existing tools, frameworks, libraries, or components used in the development process. Where such components are used, they are licensed (not transferred) to the client under standard open-source or commercial licenses as applicable.
4.3 Portfolio Rights: CampYellow reserves the right to reference the client's project name and describe the nature of work performed in our portfolio and marketing materials, unless the client requests confidentiality in writing.
4.4 Third-Party Components: The client is responsible for ensuring they have appropriate licenses for any third-party assets, APIs, or content they provide to CampYellow for use in their project.
5. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary information shared during the course of the engagement. This includes business strategies, technical specifications, user data, and financial information.
CampYellow will not disclose client information to third parties without explicit written consent, except as required by law or as necessary to provide the agreed services (e.g., sharing specifications with contracted developers under NDA).
This confidentiality obligation survives the termination of the service agreement for a period of three (3) years.
6. Warranties and Representations
6.1 CampYellow warrants that:
• Services will be performed with reasonable skill and care
• Deliverables will materially conform to the agreed specifications
• We have the right to perform the services described
6.2 CampYellow does not warrant that:
• Applications will be free of all bugs or errors
• Ad revenue will meet any specific targets (revenue depends on app traffic, audience, and market conditions)
• Third-party services (Google AdMob, Microsoft Advertising) will maintain their current terms, policies, or revenue rates
6.3 The client warrants that:
• They have the authority to enter into this agreement
• All content, data, and assets provided to CampYellow are owned or properly licensed
• The intended application will not violate any applicable laws or third-party rights
7. Limitation of Liability
To the maximum extent permitted by applicable law, CampYellow's total liability arising out of or related to any service engagement shall not exceed the total fees paid by the client for the specific project giving rise to the claim.
CampYellow shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, or business interruption, even if CampYellow has been advised of the possibility of such damages.
This limitation does not apply to liability arising from fraud, gross negligence, or willful misconduct.
8. Termination
Either party may terminate a service agreement with 14 days' written notice. Upon termination:
• The client shall pay for all work completed to the date of termination
• CampYellow shall deliver all completed work and work-in-progress to the client
• Each party shall return or destroy confidential information of the other party
CampYellow reserves the right to terminate immediately if the client breaches any payment obligation or requests work that violates applicable law or third-party rights.
9. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India, specifically the laws applicable in the State of Karnataka.
Any dispute arising out of or in connection with these Terms or any service agreement shall first be attempted to be resolved through good-faith negotiation between the parties. If negotiation fails, disputes shall be submitted to arbitration in Bangalore, Karnataka, under the Arbitration and Conciliation Act, 1996.
The courts of Bangalore, Karnataka shall have exclusive jurisdiction for any matters not subject to arbitration.
10. Changes to Terms
CampYellow reserves the right to modify these Terms at any time. Changes will be effective upon posting to our website. Continued use of our services after changes constitutes acceptance of the revised Terms.
For ongoing project engagements, material changes to Terms will be communicated in writing and will not apply retroactively to existing project agreements.
